Terms of Service

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract under the Indian Contract Act, 1872 to use the Service. The Service is provided for use within India and in jurisdictions where its use does not violate local law. You are responsible for compliance with the laws applicable to you.

3. Accounts and Security

You agree to provide accurate, current, and complete information when creating an account, and to keep that information up to date. You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us promptly at pranav@foliolab.ai of any unauthorised use. We are not liable for any loss arising from your failure to keep account credentials secure.

4. Subscriptions, Billing, and Refunds

Folio Lab offers a Free tier and paid plans (currently Pro Monthly, Pro Yearly, and Enterprise). Pricing, features, and usage limits for each plan are described on our pricing page.

• Paid subscriptions renew automatically at the end of each billing cycle (monthly or yearly) unless cancelled before the next renewal date. You authorise us and our payment processor to charge your payment method at each renewal.
• Payments are processed by Razorpay. By providing payment details, you also accept the terms of the applicable payment processor. We do not store full card numbers on our servers.
• You may cancel a subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you will retain paid features until then.
• Except as required by law, fees are non-refundable. We may, at our discretion, issue refunds for billing errors, duplicate charges, or service unavailability that materially affects you. Contact pranav@foliolab.ai within 7 days of the charge to request a review.
• Applicable taxes (including GST) may be added to the advertised price.
• We may change pricing or plan features with at least 30 days' notice. Changes take effect at the start of the next billing cycle.

5. Acceptable Use

You agree not to:

• Use the Service in a way that violates any applicable law, including SEBI regulations or the Information Technology Act, 2000.
• Reverse engineer, decompile, scrape at scale, or otherwise attempt to extract source code, proprietary algorithms, or bulk data from the Service, except to the extent expressly permitted by our public API and your plan's rate limits.
• Resell, sublicense, or republish optimization outputs, backtest results, or documentation as a competing service without our written consent.
• Probe, scan, or test the vulnerability of the Service, or breach any security or authentication measure.
• Upload content that infringes third-party rights, contains malware, or is unlawful, defamatory, or harassing.
• Share your account credentials, or use the Service to operate accounts on behalf of multiple end users beyond what your plan permits.

7. Your Content and Data

You retain ownership of the inputs you provide to the Service (such as ticker lists, constraints, and notes). You grant us a non-exclusive, worldwide, royalty-free licence to host, process, and display this content solely to operate, secure, and improve the Service for you.

We may use aggregated and anonymised usage data (which does not identify you or any individual) to improve the Service and our underlying models. Our handling of personal data is described in our Privacy Policy.

8. Intellectual Property

The Service, including its software, design, optimization implementations, documentation, and brand, is owned by Folio Lab and protected by Indian and international intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal purposes during the term of your subscription.

Optimization outputs generated for your account, when based on your inputs, may be used by you for any lawful purpose consistent with these Terms.

9. Third-Party Services

The Service relies on third-party providers, including market data sources, payment processors (Razorpay), authentication providers (Google), and infrastructure vendors. We are not responsible for the availability, accuracy, or terms of these third parties. Outages, inaccuracies, or revisions in third-party data may affect the Service.

10. AI Assistants and MCP Connectors

Folio Lab exposes a Model Context Protocol ("MCP") server that lets you connect your account to third-party AI assistants such as Claude (Anthropic), ChatGPT (OpenAI), or any other client that implements the protocol ("Connected Assistants"). When you connect a Connected Assistant, you authorise it, through OAuth, to call the Folio Lab tools listed in the consent screen on your behalf, within the limits of your plan.

• Data flow.When you use a Connected Assistant, the prompts you send to that assistant and the tool inputs and outputs (such as tickers, configurations, optimization weights, and risk metrics) are processed by the AI provider you authorised. We do not control how the provider handles your prompts or their internal logs; consult that provider's terms and privacy policy.
• Acting on your behalf. A Connected Assistant operates under your account and within the scopes you approved at the consent screen. Calls it makes (including those that submit, cancel, rename, or generate reports for optimization runs) are attributed to you for billing, quota, audit, and acceptable-use purposes. Treat a Connected Assistant the way you would treat anyone you gave your password to.
• Revoking access. You may revoke any Connected Assistant at any time from the Connectors section of your account settings. Revocation invalidates the assistant's tokens immediately. Revocation does not delete the data or runs already created during the session.
• Acceptable use extends. The restrictions in Section 5 (Acceptable Use) apply to all activity performed through a Connected Assistant, including prompts that instruct an assistant to scrape, exceed rate limits, probe security, or extract bulk data. You are responsible for the conduct of any assistant you connect to your account.

We are not liable for the availability, accuracy, latency, cost, content moderation, or terms of any third-party AI provider, nor for any decision (investment or otherwise) you take in reliance on a Connected Assistant's output. Section 12 (Limitation of Liability) applies.

11. Suspension and Termination

We may suspend or terminate your access to the Service if you breach these Terms, if your account poses a security or legal risk, or if required by law. We will provide notice where reasonably practicable. You may close your account at any time by contacting us at pranav@foliolab.ai or using the account-deletion option in your settings (when available). Provisions that by their nature should survive termination (such as ownership, disclaimers, and limitations of liability) will survive.

12. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and the accuracy, completeness, or timeliness of any data, calculation, or output. We do not warrant that the Service will be uninterrupted, error-free, or that any defect will be corrected.

13. Limitation of Liability

To the maximum extent permitted by law, in no event will Folio Lab be liable for any indirect, incidental, special, consequential, or exemplary damages, including lost profits, lost data, or trading losses, even if advised of the possibility of such damages. Our aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the fees you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) INR 1,000.

14. Indemnification

You agree to defend, indemnify, and hold harmless Folio Lab and its officers, directors, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising out of your use of the Service, your content, or your breach of these Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules. The courts located in Bengaluru, Karnataka, will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service, except that we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
